Merchant Agreement

Your obligations as a seller using the platform, including Indian e-commerce and GST rules.

The operator has not finished entering company details; bracketed fields will be filled before launch.

1. You are the seller

Contracts of sale are between you and your customers. We are a technology provider and not a party to those contracts, an agent, or a marketplace.

2. Information you must display (Consumer Protection (E-Commerce) Rules, 2020)

  • Your legal name, principal geographic address, contact details and, if registered, GSTIN. Enter these in Settings → Legal & tax; the platform shows them on your store.
  • A named Grievance Officer with contact details, who acknowledges complaints within 48 hours and resolves them within one month.
  • Accurate product descriptions, total price (inclusive of all taxes and charges), country of origin, return, refund, exchange and delivery terms, and expiry/best-before details where relevant.
  • No unfair trade practices, manipulated reviews or misleading ‘flash sale’ claims.

3. Taxes

  • You are responsible for registering for GST where required, charging the correct rate and HSN/SAC, and filing returns. The platform’s tax invoices and credit notes are a convenience and are built from the settings you enter; verify them with your accountant.
  • Prices on your store are GST-inclusive. Enter your GSTIN and state so invoices split CGST/SGST or IGST correctly.
  • If you are not GST-registered the platform issues a Bill of Supply without tax.

4. Orders, delivery and returns

You must fulfil paid orders within the time you promise, honour your published return and refund policy, and refund customers promptly for cancelled or undelivered orders. You are responsible for packaging and compliance with the Legal Metrology (Packaged Commodities) Rules where they apply.

5. Payments

You connect your own Razorpay account. You are responsible for completing Razorpay’s KYC and for its fees, chargebacks and settlements. We never hold your customers’ funds.

6. Customer data

You are the data fiduciary for your customers’ personal data. Use it only to fulfil orders and for lawful purposes, publish a privacy policy (the platform provides a template), and honour their rights. The Data Processing Addendum governs our role as your processor.

7. Prohibited and restricted goods

See the Acceptable Use Policy. We may remove listings or suspend stores that breach it.

8. Indemnity and cooperation

You will cooperate with consumer complaints and legal requests and indemnify us against claims arising from your goods and conduct.
