Terms of Service
The agreement between you and the platform when you use it as a merchant, visitor or customer.
The operator has not finished entering company details; bracketed fields will be filled before launch.
1. Who we are
These Terms are between you and [to be set], operating the “shoclop” platform, with its registered office at [to be set] (“shoclop”, “we”, “us”). shoclop provides software that lets merchants create an online store, take payments, manage orders and ship products in India.
Effective 1 January 2026. By creating an account or using the platform you accept these Terms, the Privacy Policy, the Merchant Agreement and the other policies linked in the footer.
2. Eligibility and accounts
- You must be at least 18 and capable of entering a binding contract under the Indian Contract Act, 1872, or act for a company or firm that is.
- Give accurate information, keep your password confidential and tell us at once if you suspect misuse. You are responsible for activity on your account and for the people you invite to your team.
- We may refuse, suspend or close an account that breaches these Terms, is used for unlawful activity or puts other users at risk.
3. The service
We provide the platform “as available”, aiming for high uptime but without a guarantee of uninterrupted service. We may change, add or remove features; we will give reasonable notice of changes that materially reduce core functionality.
4. Fees, GST and billing
- The Pro plan costs ₹999 per month, exclusive of GST (GST at 18% is added, so ₹1,178.82 is charged each month).
- A 14-day free trial may be offered to new stores; no card is charged during the trial unless you subscribe earlier.
- Subscriptions renew monthly until cancelled. You can cancel at any time; access continues to the end of the paid period.
- A tax invoice is issued for every payment. GST is charged at the rate applicable by law and may change if the law changes.
- Payment-gateway fees charged by Razorpay for your customers’ payments are separate and billed by Razorpay to you.
5. Your store and your customers
You are the seller of record for the goods and services you list. You alone are responsible for your products, prices, descriptions, legality, taxes, invoices, delivery, returns and customer service. See the Merchant Agreement for your obligations under the Consumer Protection (E-Commerce) Rules, 2020 and the CGST Act, 2017.
6. Your content
You keep ownership of the content you upload. You grant us a worldwide, non-exclusive licence to host, display and process it only to operate and improve the service for you. You promise you have the rights to it and that it does not infringe anyone’s rights or break the law.
7. Prohibited use
You must follow the Acceptable Use Policy. In particular you must not sell goods or services that are illegal in India, counterfeit, or on our prohibited list.
8. Intellectual property
The platform, its software, design and the “shoclop” name are ours or our licensors’. These Terms give you a limited right to use the service; they do not transfer ownership.
9. Third-party services
The platform connects to third parties (for example Razorpay for payments, Delhivery for shipping, Supabase for hosting). Their own terms apply to your use of them, and we are not responsible for their acts or outages.
10. Suspension and termination
You may close your account at any time. We may suspend or terminate access immediately for serious breach, non-payment after notice, legal requirement, or risk to the platform or others. On termination you may export your data for 30 days, after which we may delete it subject to legal retention duties.
11. Disclaimers and liability
To the maximum extent permitted by law, the service is provided “as is”, and we are not liable for indirect or consequential loss, loss of profit or goodwill. Our total liability for any claim is limited to the fees you paid us in the three months before the event. Nothing limits liability that cannot be limited under Indian law.
12. Indemnity
You will indemnify us against third-party claims arising from your products, your content, your breach of these Terms or your violation of law.
13. Governing law and disputes
These Terms are governed by the laws of India. Disputes are first raised under our Grievance Redressal process. Unresolved disputes are subject to the exclusive jurisdiction of the courts at [to be set], India. Where you are a consumer, nothing here removes the rights you have under the Consumer Protection Act, 2019.
14. Changes
We may update these Terms. We will notify you of material changes by email or in the dashboard at least 14 days before they apply. Continued use after that means you accept them.
